Terms of Business

These are the terms on which Codexa Engineering Ltd ("we", "us") provides services. They apply unless we've signed something different with you, in which case that agreement takes precedence.

Our services

We provide outsourced design, drafting and engineering support — architectural, structural, civil, mechanical, electrical and BIM — along with software development and related technology work.

We work as an outsourcing partner to your practice or business. Where a project requires a duty-holder role, a professional sign-off, or design certification that must come from a suitably qualified and insured individual, that responsibility rests with you or with the consultant you appoint, unless we have agreed otherwise in writing for that specific project.

Quotes and pricing

For a defined project we assess your brief and give a single fixed quote for the whole piece of work. You approve the price before we begin, and there are no open-ended hourly charges.

Quotes are based on the information you give us. If the scope changes materially — additional drawings, a different building, a revised brief — we will tell you and re-quote before continuing rather than absorbing it silently or invoicing you for a surprise.

Where a fixed quote isn't practical, we work at the hourly rates given at the time of enquiry. All prices are in pounds sterling and exclusive of VAT where applicable.

Your material and ours

What you send us stays yours. Drawings, models, specifications and data you provide remain your property, or your client's. We use them only to carry out the work you've asked for, and we don't reuse them on other projects.

What we produce becomes yours on payment. Once an invoice is settled, the intellectual property in the deliverables for that project transfers to you. Before payment, we retain it.

We keep the right to reuse our own general know-how, methods, templates and reusable components — the things that make us faster next time. That never includes your project content.

Native files (DWG, RVT and similar) are issued for coordination purposes. We accept no liability for modifications made to them by others; where a native file and an issued PDF disagree, the PDF governs.

Confidentiality

We treat your project information as confidential and don't disclose it to third parties without your permission. We will not publish your work, name you as a client, or use your project in our own marketing unless you've agreed to it in writing.

The same runs the other way: please don't send us material you aren't permitted to share.

Delivery and revisions

We agree a delivery date for each piece of work before starting. If something is going to be late we tell you as soon as we know, not on the deadline.

Revisions within the agreed scope are included — we'd rather get it right than deliver something you have to work around. Revisions that change the scope are re-quoted.

Please review deliverables promptly and raise anything that looks wrong. Where the brief was incomplete or a dimension wasn't available, we will have listed our assumptions; it's important those are checked.

Payment

Invoices are payable within 14 days unless we've agreed otherwise. For larger projects we may ask for a deposit or stage payments, which will be set out in the quote.

We reserve the right to charge statutory interest on late payment under the Late Payment of Commercial Debts (Interest) Act 1998, and to pause work on overdue accounts.

Liability

Subject to that, our total liability in connection with a project is limited to the fees paid for that project. We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of anticipated savings.

Our work is one input into your project. Checking that a deliverable is suitable for its purpose within the wider design — including where it needs review by a qualified professional — remains your responsibility.

Cancellation

You can cancel a project at any time. You pay for the work completed up to that point, and we hand over what has been produced.

We may decline or stop work where a request would be unlawful, unsafe, or requires us to misrepresent authorship or ownership of someone else's material.

Contractors

Some work is carried out by contractors on our panel. They are bound by confidentiality and non-circumvention terms, and the work is managed and checked by us. Our responsibility to you is the same either way.

Governing law

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If any clause is found unenforceable, the rest continues to apply.
